The US Federal Communications Commission has approved foreign ownership arrangements that would allow Gulf sovereign funds to hold a combined 49.5% indirect equity interest in Paramount through the proposed Paramount-Warner Bros. transaction.
The investors include entities connected with Saudi Arabia, the UAE and Qatar.
The important point is not only the size of the stake. It is the governance around it.
Cross-border capital entering a strategic asset can face regulatory review, ownership limits, control conditions and continuing reporting obligations. The capital may be available, but the structure still has to be acceptable to the relevant authorities.
For UAE-connected investors, this is a useful reminder that international ownership structures should be reviewed at three levels: — Who legally owns the asset? — Who has effective control? — Which regulator can impose conditions on the arrangement?
The question is not simply whether capital can cross a border. It is whether ownership, governance and regulatory permissions remain aligned after it does.
