L’IMAD’s AD Ports Offer: What Minority Shareholders Need to Know

Abu Dhabi’s sovereign fund L’IMAD is offering minority shareholders in AD Ports Group a 31% premium to exit — AED 6.25 per share, nearly double the 2022 IPO price.

The offer values AD Ports at roughly AED 32 billion. The company has never paid a dividend.

The context matters. Ports and logistics have moved up Abu Dhabi’s strategic agenda as disruption in the Strait of Hormuz has exposed vulnerabilities in Gulf trade routes. L’IMAD, through ADQ, already holds 75.42%. Full ownership removes the tension between long-term infrastructure investment and public-market expectations for near-term returns.

For minority holders, the mechanics are straightforward but time-sensitive. Custody records, pledged-share positions, and payment instructions all need to be reviewed before the offer window closes. The offer contains no minimum acceptance threshold, and it remains unclear whether remaining shareholders could be compelled to sell if uptake crosses 90%.

The broader question: sovereign capital is now making explicit that some infrastructure requires ownership structures public markets weren’t designed to support.
